Charoen Pokphand Group uses its Code of Conduct as a common standard to guide employees in their decisions and actions. It sets expectations regarding integrity, transparency, accountability, respect for human rights and appropriate business conduct. This is supported by relevant policies and guidelines, communication and training, whistleblowing channels, and monitoring and assessment processes to help ensure that ethical principles and compliance requirements are translated into practice.

This ensures that all business units, including subsidiaries, conduct operations in accordance with applicable laws, regulations, rules, and standards in every country where the Group operates.
Charoen Pokphand Group’s compliance management begins with the establishment of Group-wide policies that address key areas related to transparent and fair business practices. These include ethics, integrity, conflict of interest, personal data protection, anti-corruption, and respect for human rights.
These policies are cascaded into practice through continuous employee training, the development of practical guidelines, and consistent internal communication. Furthermore, Charoen Pokphand Group has designated specific functions or personnel responsible for overseeing compliance, enabling them to provide guidance, conduct audits, and closely monitor implementation across the organization.

Compliance Training
Charoen Pokphand Group designs compliance training programs tailored to the target audience, covering employees, suppliers, and contractors. Training content and objectives are aligned with the established compliance framework and communication plan, while consultation channels are available for clarifying concerns. Feedback from participants and survey results are regularly reviewed to further enhance training effectiveness and communication.
As part of employee and stakeholder engagement in compliance development, the Group integrates survey findings on awareness of corporate governance and compliance into the design of operational processes, training modules, and communication strategies. This ensures that all parties, both internal and external, have a clear understanding of compliance expectations.

Training of Operating Procedures
Charoen Pokphand Group conducts Train-the-Trainer programs to strengthen the knowledge and understanding of compliance personnel across its business groups regarding the guidelines and operating procedures established at the Group level. This enables them to effectively apply the requirements and establish appropriate practices suited to the context of each company.
Trained personnel are responsible for transferring knowledge and raising awareness among employees within their companies, providing guidance on the application of the procedures, and supporting oversight and monitoring to help ensure that operations are conducted in accordance with the Group’s established guidelines.
In 2025, the Group conducted training on key operating procedures, including:

- Operating Procedures for Giving and Receiving Gifts or Other Benefits
Complaints and Whistleblowing
Charoen Pokphand Group has established the Whistleblowing Policy and Guidelines to accept opinions, recommendations, and complaints from both internal and external parties who have been affected or are likely to be affected by the Group’s business operations.
Furthermore, to demonstrate clear, honest, and transparent practices, the Group has determined guidelines that are consistent with international standards regarding the roles and responsibilities of concerned parties, whistleblower/complainant protection measures, investigation process, and penalties. Moreover, the Group also integrates the guidelines stated in the Code of Conduct, other relevant policies and guidelines, as well as those set forth in the applicable laws, rules and regulations into employee performance evaluation criteria. The result of the compliance is not only linked to employees' annual remuneration but also career promotion opportunities.

In 2025, Charoen Pokphand Group received 31 reports concerning alleged violations of the Group’s Code of Conduct and ethical standards through established whistleblowing and grievance mechanisms. All reported cases were reviewed and investigated in accordance with the Group’s Whistleblowing Policy and relevant procedures, with emphasis on confidentiality, impartiality and protection of whistleblowers and complainants. Of the cases investigated, four fraud and corruption cases were substantiated. Appropriate disciplinary measures were applied, comprising one suspension and three terminations of employment. None of these cases resulted in monetary fines imposed by external regulatory authorities, and none resulted in judicial convictions against the Group or any individual.
