Ethics & Compliance Statement

C.P. Group upholds five key commitments regarding ethics and compliance, communicated from the leadership level to all levels of operation through the E&C Statement. The Group maintains zero tolerance for unethical behavior or non-compliance.

Charoen Pokphand Group is dedicated to fostering and developing people of integrity and strong ethical values, while ensuring that every business group and business unit across all countries operates in alignment with effective compliance policies and practices. To reinforce this commitment, the Group has established the Ethics & Compliance Statement as a guiding policy and standard of practice for all executives and employees, setting out the principles for strict adherence to ethical conduct and regulatory compliance.

1. Refrain from any actions that violate principles of integrity, ethics, and fairness toward employees, suppliers, and all stakeholders.

Business operations must respect human rights and uphold the Group’s core values of integrity and honesty. Any violation that causes harm to the Group, in any form, will be subject to disciplinary action proportionate to the damage incurred.

2. Maintain a balance between organizational needs and stakeholder interests, with a strong commitment to the well-being of employees and all individuals involved in operations.

All personnel must be protected from physical and mental harm, harassment, or bullying, which constitute violations of human rights, equality, and diversity and inclusion.

3. Conduct business and operations in compliance with applicable laws, rules, and regulations in every country or jurisdiction where the Group operates, as well as with international standards.

This includes adherence to relevant policies, patents, and agreements, while protecting and preserving the environment from direct or indirect negative impacts on communities, society, and stakeholders.

4. Reject all forms of fraud, conflicts of interest, bribery, or corruption, whether committed by employees or external parties.

All operations must be grounded in good governance and honesty. Any violation will be regarded as a serious disciplinary offense.

5. Manage business with responsibility for safety, occupational health, and working environment.

This applies to regular operations, new projects, organizational changes, and business expansions that may affect employees, suppliers, contractors, customers, and other stakeholders. Any violation or negligence in safety responsibilities will be considered a breach of company discipline.​

Compliance Management Ecosystem

This includes laws, internal and external regulations, the Group’s Code of Conduct, internal policies, business licenses, contracts, accepted standards, and recognized best practices. The Group has announced the “C.P. Group Compliance Management Policy” along with an operational framework to support effective compliance across the organization. ​

The Compliance Framework has been established to provide guidance for the management and business operations of C.P. Group companies, ensuring that compliance practices across the organization follow a consistent operational standard. This framework serves as a foundation that can be adapted by listed companies within the Group as well as joint ventures, aligning with their specific business contexts and internal management processes. Its purpose is to ensure alignment with the Group’s overall objectives while fostering trust and confidence among both internal and external stakeholders.
