Charoen Pokphand Group has established the Sustainability Executive Committee as a key mechanism for systematically and continuously driving and overseeing the implementation of the Group’s Sustainability Strategy and Sustainability Goals towards 2030.
The Sustainability Executive Committee is chaired by Mr. Suphachai Chearavanont, Senior Vice Chairman of Charoen Pokphand Group, and comprises senior executives from diverse functions and business groups, including both listed and non-listed companies. This reflects the comprehensive integration of sustainability into the Group’s governance and management structure.
Each Committee member brings diverse knowledge, capabilities, skills, and experience covering key sustainability issues. Together, they assess risks, impacts, and opportunities that may be significant to business operations and establish strategic directions for integrating environmental, social, and governance considerations into the decision-making processes and operations of all business groups. These issues include climate change, resource efficiency, nature conservation and restoration, diversity and social inclusion, human rights protection, and good corporate governance.
The Sustainability Executive Committee also supports the establishment of clear targets and indicators, monitors progress at both Group and business group levels, and promotes continuous improvement to ensure that operations remain responsive to change, stakeholder expectations, and the rapidly evolving sustainability landscape.
Progress, performance, and key related matters are regularly reported to the Board of Directors and the Executive Committee to strengthen transparency, accountability, and governance effectiveness.
The role of the Sustainability Executive Committee therefore extends beyond overseeing and monitoring performance. It serves as a key mechanism for translating the Group’s sustainability commitments from policy into action, advancing responsible business practices, and creating shared value for the country, the people, and the organization, thereby laying the foundation for resilient and sustainable long-term growth.
Roles and Responsibilities of the Sustainability Committee
Corporate Governance Structure Charoen Pokphand Group
Charoen Pokphand Group has established a multi-tiered sustainability governance structure to ensure clear accountability, from the Board of Directors and senior management to implementation across the Group’s business groups and relevant functions.
This structure supports the consideration of sustainability impacts, risks, opportunities, targets, and performance in strategic direction-setting, enterprise risk management, investment decision-making and resource allocation, as well as business operations at all levels.
Governance by the Board of Directors
The Board of Directors has ultimate responsibility for overseeing sustainability and ESG matters, encompassing the following key areas:
The Board of Directors regularly receives reports on progress, performance against Group-wide targets, ESG developments, and material risks and opportunities. This information supports strategic direction-setting, reviews of management performance, and oversight of the effectiveness of the sustainability management system.
The Board’s oversight is supported by the Executive Board and the Sustainability Steering Committee, which consider and manage sustainability matters at the management level before reporting or presenting material matters, performance, and recommendations to the Board of Directors.
Governance by the Executive Board
The Executive Board is responsible for integrating the sustainability direction established under the oversight of the Board of Directors into corporate strategy, business planning, enterprise risk management, investment decision-making, and resource allocation.
The Executive Board considers material sustainability matters and performance, including their impacts on the Group’s businesses, and establishes approaches to ensure that environmental, social, and governance factors are integrated into management decision-making. Material matters are reported or escalated to the Board of Directors for further consideration, direction-setting, or oversight, as appropriate.
The Sustainability Steering Committee serves as a dedicated management-level mechanism responsible for overseeing and driving the implementation of the Group’s sustainability strategy and Sustainability Goals 2030.
The Committee is chaired by Mr. Suphachai Chearavanont, Senior Vice Chairman of Charoen Pokphand Group, and comprises senior executives from relevant functions and business groups, including both listed and non-listed companies. Business Groups and Relevant Functions Collect Data
Implement plans, monitor performance, and identify material matters.
The Chief Sustainability Officer and the Sustainability
Function consolidate and review performance, coordinate implementation, and identify matters requiring management-level consideration.
The Sustainability Steering Committee
Reviews the implementation of strategies, targets, performance, and material impacts, risks, and opportunities, while establishing corrective actions and approaches for continuous improvement.
The Executive Board
Considers the strategic and financial impacts, risks, and resource allocation associated with material sustainability matters.
The Board of Directors
Has ultimate responsibility for overseeing and providing direction on the Group’s commitments, material ESG matters, targets, and sustainability performance.
